Directors

Director
According to section 2(34) of companies act 2013. A director is a person who is appointed to the Board of the company.

Board of Directors
According to section 2(10) of companies act 2013. Board in relation to a company is collective body of directors.

DIN
DIN stands for Director Identification Number. If someone wants to be a director he needs to have a DIN.
According to section 153 to get a DIN a person have to fill and submit a form DIR-3 to the central government. you can read the whole procedure by clicking here.

Type of Directors
There are 2 types of directors
1. Executive director or Full-time director.
2. Non-Executive director or Part-time director.

Executive director
An executive director is a director who takes part in the day-to-day functioning of a company. Executive directors are further categorised into 2 parts

1.Whole time director:- 
A whole-time director is a director in the whole-time employment of the company. In other words, a director who devotes his whole time to the affairs of a company is called a whole-time director of the company.

2. Managing director:-
A person who is in overall charge of the running of an organization or business.

Non-Executive director
A non-executive director does not engage in the day-to-day management of the organization but is involved in policymaking and planning exercises. He is not an Executive director. Following are the type of non-executive director:-


  • First director
  • Women director
  • Resident director
  • Director elected by small shareholders
  • Additional director
  • Nominee director
  • Individual director
  • Alternate director 
  • casual vacancy
